These Terms of Use (“Terms”) govern your access to and use of the Optimism Consulting Group website at optimismconsultinggroup.com (the “Site”) and any information, tools or materials we make available through it. By using the Site, you agree to these Terms. If you do not agree, please do not use the Site.
“Optimism Consulting Group,” “we,” “us” and “our” refer to Optimism Consulting Group LLC, a Wyoming limited liability company. “You” refers to the person or business using the Site.
These Terms cover your use of the Site only. If you engage us for consulting work, that engagement is governed by the separate written proposal, statement of work or services agreement you sign with us. Where that agreement conflicts with these Terms, the signed agreement controls for the work it describes.
The Site is intended for adults 18 and older who are using it for business purposes. If you use the Site on behalf of a company, you represent that you have authority to bind that company to these Terms.
We provide marketing, sales and software consulting services. Depending on the engagement, that may include CRM and automation build-out, paid advertising and lead generation, website and brand work, sales process design, and related implementation and support.
Descriptions of our services on the Site are general information, not an offer to contract. Nothing on the Site creates a consulting relationship between us. A relationship begins only when we both sign a written agreement.
Scope, deliverables, timelines, fees, payment schedules, renewal terms and refund or cancellation rights are set out in the written agreement for your engagement. Any pricing shown or discussed on the Site or on a call is an estimate until it appears in a signed agreement.
Unless your agreement says otherwise, fees are stated in U.S. dollars, invoices are due on receipt, and fees for work already performed are non-refundable.
To do our work, we rely on you. You agree to:
Unless your agreement says otherwise, advertising spend is separate from our fees and is paid by you directly to the advertising platform. You are responsible for your own ad accounts, budgets and billing.
The systems we build run on third-party platforms we do not own or control, such as advertising networks, CRM and automation tools, hosting providers, payment processors and messaging services. Those platforms set their own rules, pricing, approval decisions and uptime, and they can change them without notice. We are not responsible for a platform rejecting an ad, suspending or restricting an account, changing its algorithm, pricing or policies, or suffering an outage or data loss. We will work with you in good faith to respond when that happens.
We do not guarantee any particular result, including any level of leads, booked appointments, sales, revenue, return on ad spend, search ranking or growth. Results depend on factors outside our control, including your offer, pricing, market, competition, budget, sales capacity and how your team executes.
Any client results, figures, case studies or testimonials shown on the Site reflect specific engagements over specific periods. They are not typical, they are not a promise, and they should not be taken as what you will achieve. Forward-looking statements about what a system could produce are estimates, not commitments.
Nothing on the Site and nothing we provide in the course of our work is legal, tax, accounting, financial or investment advice. We are not a law firm, an accounting firm, a registered investment adviser or a broker-dealer. You should consult your own qualified professionals before acting on anything we provide, particularly on questions of regulatory compliance, advertising claims, licensing and tax treatment.
The Site and its content — text, graphics, logos, the Optimism Consulting Group name and mark, layout, code and design — are owned by us or our licensors and are protected by intellectual property laws. You may view and print pages of the Site for your own business evaluation. You may not copy, republish, scrape, resell or create derivative works from the Site without our written permission.
For client work, ownership is set out in your signed agreement. As a general matter, you own the content, data, brand assets and account configurations that are specific to your business, and we retain ownership of the methods, templates, frameworks, internal tools and reusable code we bring to or develop in the course of our work. We grant you a license to use those materials as part of the deliverables for your own business.
Each of us may receive non-public business information from the other. Each of us agrees to use that information only for the engagement and to protect it with reasonable care. This does not apply to information that is already public, is received lawfully from someone else, is independently developed, or must be disclosed by law.
You agree not to:
We may suspend or block access to the Site for anyone who breaks these rules.
The Site may link to third-party websites, tools or verification services. We provide those links for convenience. We do not control those sites, we do not endorse everything on them, and we are not responsible for their content, accuracy, availability or privacy practices.
The Site and its content are provided “as is” and “as available,” without warranties of any kind, express or implied. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that the Site will be uninterrupted, secure or error-free, or that the information on it is complete or current.
To the fullest extent permitted by law, Optimism Consulting Group LLC and its owners, members, officers, employees and contractors will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost revenue, lost data, lost business opportunity, or the cost of substitute services, arising out of or relating to the Site or our services, even if we have been advised of the possibility.
Our total liability arising out of or relating to the Site or our services will not exceed the greater of the fees you paid us in the three months before the event giving rise to the claim, or one hundred U.S. dollars. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
You agree to indemnify and hold harmless Optimism Consulting Group LLC and its owners, members, officers, employees and contractors from any claims, damages, losses, liabilities and reasonable legal fees arising out of your use of the Site, your breach of these Terms, the content, claims or data you provide to us, your products or services, or your failure to comply with laws or platform rules that apply to your business.
We may suspend or end your access to the Site at any time, with or without notice. Termination of a consulting engagement is handled under your signed agreement. Sections that by their nature should survive — including intellectual property, confidentiality, disclaimers, limitation of liability, indemnification and governing law — survive termination.
These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-laws rules.
If a dispute arises, we both agree to try to resolve it informally first. Send written notice describing the dispute and what you want to the contact address below, and give us thirty days to work it out with you before starting a formal proceeding.
If we cannot resolve it informally, any action must be brought in the state or federal courts located in the State of Wyoming, and we both consent to the jurisdiction of those courts. Each of us waives any right to a jury trial, and any claim must be brought in an individual capacity and not as a plaintiff or class member in a class or representative action.
We may update these Terms from time to time. We will post the updated version on this page with a new effective date. Continued use of the Site after an update means you accept the revised Terms.
These Terms, together with our Privacy Policy and any signed agreement between us, are the entire agreement on this subject. If a provision is found unenforceable, the rest stays in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition or sale of assets. Nothing in these Terms creates a partnership, joint venture, employment or agency relationship between us.
Questions about these Terms can be sent to Optimism Consulting Group at admin@optimismconsultinggroup.com.
